Terms of Service

  1. ORDER QUOTES


Any order quoted not approved within seven (7) business days is subject to price changes. Quotes are valid for seven (7) business days.


 

  1. ORDER CANCELLATION


Once an order is approved by the client, it may not be cancelled or modified including, but not limited to, artwork changes, garment sizes, quantities, and personalization.


 

  1. SAMPLE WORK


Sample work performed by Threads & Pixels Corp. by client’s request, such as sketches, drawings, composition, screen, presswork, and materials, will remain under the exclusive property of Threads & Pixels Corp. and may be subject to charges depending on complexity of work. Use of the sample work or ideas obtained from the sample work project is prohibited except upon compensation to be determined by Threads & Pixels Corp. and agreed upon in writing.


 

  1. PRELIMINARY PROJECTS


Preliminary projects done by Threads & Pixels Corp. by the client’s request including, but not limited to, sketches, copy, and dummies, will remain the exclusive property of Threads & Pixels Corp. Use of the Preliminary projects or ideas obtained from the Preliminary projects is prohibited except upon compensation to be determined by Threads & Pixels Corp. and agreed upon in writing.


 

  1. SUPPLIED ARTWORK BY CUSTOMER

Estimates for printing are based on the client supplying same size (or larger) artwork that is high resolution and it is “camera-ready” or “scanner-ready” and does not require any additional touch up or cleanup. Additional time needed to prepare artwork will be billed at current rates and may affect the final turnaround time and due date of the order. Any graphics taken from a website must be touched up for an additional fee. For any inquiries about fees and charges please contact us.


 

  1. PRELIMINARY MATERIALS


Artwork, type, copy, screens, negatives, positives, colour separations, and other items when supplied by Threads & Pixels Corp. will remain the exclusive property of Threads & Pixels Corp. except upon compensation to be determined by Threads & Pixels Corp. and agreed upon in writing.


 

  1. ALTERATIONS AND MODIFICATIONS


Alterations and modifications represent work performed in addition to the original specifications. Any additional work will be charged at current rates and agreed upon in writing.


 

  1. PROOFS APPROVAL


Proof approvals and revisions are to be communicated via email to the client. Revisions and approvals requested by the client shall be done by way of emails.

For orders requiring manual approval, written approval is required via email. If revised proofs are desired, a written request must be made when proofs are received. Revisions to manual orders are only accepted through email


Threads & Pixels Corp. regrets any errors that may go through production undetected. Threads & Pixels Corp. cannot be held responsible for errors if the word, design, or logo is printed as per the client’s approval or if changes are communicated verbally. All changes shall be communicated to Threads & Pixels Corp. via email.


 

  1. PRESS APPROVALS


Any press approvals will be charged at current rates and agreed upon in writing. Any changes, corrections, or lost press time due to client’s change of mind or delay will be charged for at current rates and may affect final due date.


 

  1. COLOUR PROOFING


Due to differences in equipment, garments, inks, and other conditions between colour proofing and production pressroom operations, a reasonable variation in colour between colour proofs and completed order will constitute acceptable delivery.


 

  1. OVERRUNS OR UNDERRUNS


For Screen Printing items a 3% over/under run policy will apply. This means that Threads & Pixels Corp. can print up to 3% less than the original total requested and if this case Threads & Pixels Corp. will credit the client back the difference. Alternatively, Threads & Pixels Corp. can print up to 3% more than the original total requested, and this difference will be charged to the client. For apparel and non-promotional headwear, Threads & Pixels Corp. will replace all damages. Clients will be notified by Client Experience Specialist when damages have occurred.


 

  1. CUSTOMER’S PROPERTY


Threads & Pixels Corp. will maintain fire, extended coverage, vandalism, malicious mischief, and sprinkler leakage insurance on all property belonging to the client while such property is in Threads & Pixels Corp.’s possession. Threads & Pixels Corp.’s liability for such property shall not exceed the amount recoverable from such insurance.


 

  1. SHIPPING & DELIVERY


Threads & Pixels Corp. does not assume liability for any delays with couriers and cannot provide refunds or discounts as a result of courier delays. Threads & Pixels Corp. can only guarantee that the client’s order has left the Threads & Pixels Corp. premises on time. The price quoted is for a single shipment, without storage, F.O.B., local client’s place of business or F.O.B. Threads & Pixels Corp.’s platform for out-of-town clients, unless otherwise specified. Proposals are based on continuous and uninterrupted delivery of completed orders unless specifications distinctly state otherwise.


 

  1. PRODUCTION SCHEDULES


Production schedule will be established and adhered to by the client and Threads & Pixels Corp., if neither shall incur any liability, penalty, or delays due to state of war, riot, civil disorder, fire, strikes, accidents, action of Government or civil authority, acts of God, or other causes beyond the control of the client or Threads & Pixels Corp.


 

  1. PAYMENT TERMS


A payment for the 50% for the full value of the order is required before production and turnaround time can commence. Once approval is granted by the client, the pre-authorization is captured, and turnaround time begins. The client’s credit card will be charged in full upon order completion.


 

  1. GENERAL WARRANTY


Threads & Pixels Corp. shall disclaim any and all express or implied warranties of merchandise or warranty of fitness for a particular purpose. Although Threads & Pixels Corp. uses quality materials, due to the wide variation in laundering conditions and detergents, Threads & Pixels Corp. does not guarantee against any fading or shrinkage of garments during laundering. Any claims against your order must be made within 5 days of receipt, beyond these 5 days Threads & Pixels Corp. will not accept exchanges, refunds, or compensation.


 

  1. DYE LOT


Due to the practice of batch processing knitted goods when they are dyed, Threads & Pixels Corp. cannot guarantee consistency of colour on garments from dye lot to dye lot or from one order to the next.


 

  1. SUBSTITUTIONS


Threads & Pixels Corp. reserves the right to substitute materials of equal or better quality unless advance notification of such is previously agreed upon in writing.


 

  1. DEFECTIVE GOODS


Garments or items that do not pass-through Threads & Pixels Corp.’s quality assurance testing will be made available to the client to be purchased at a reduced cost to be determined by Threads & Pixels Corp. If the client declines to purchase such items, Threads & Pixels Corp. reserves the right to sell them as seconds or irregulars as determined by Threads & Pixels Corp.

If the client provided the goods for decoration, they will be entitled to all defective goods. Rates on defective goods will be within industry standards. Threads & Pixels Corp. is not obligated to purchase defective goods from buyer unless a specific percentage number of defects is agreed upon in writing before production begins.

 

  1. PACKAGING

All orders shall be ‘bulk’ packaged, unless otherwise specified or agreed upon in writing. Individual packaging including, but not limited to, folding, tagging, and bagging, will be charged at current rates and requested during online order submission.


 

  1. INDEMNIFICATION

The client shall indemnify and hold harmless Threads & Pixels Corp. from any and all loss, cost, expense, and damages on account of any and all manner of claims, demands, actions, and proceedings that may be instituted against Threads & Pixels Corp. on grounds alleging that any printing completed by Threads & Pixels Corp. violates any copyright or proprietary right of any person, or that it contains any matter that is libelous or scandalous content, invades any person’s right to privacy or personal rights, except to the extent that Threads & Pixels Corp. has contributed to the matter. The client agrees to, at the client’s own expense, promptly defend and continue defense of any such claim, demand, action, or proceeding that may be brought against Threads & Pixels Corp., provided that Threads & Pixels Corp. shall promptly notify the client with respect thereto and provided further that Threads & Pixels Corp. shall give to the client a reasonable amount of time the urgency of the situation permits to undertake and continue the defense thereof.


 

General Terms

Threads & Pixels Corp. strongly urges clients to leave some room between the time their order is placed and the time they require the order to be ready or in-hand. Although our general order completion time is within 5 to 10 business days after proof approval on most products, delays in proofing, courier delivery, and other uncontrollable events can occur. No order is considered placed until all related order information including, but not limited to, quote and artwork approval, confirmation and payment are completed. Once an order is placed, it cannot be modified. Threads & Pixels Corp. highly recommends that you order extra pieces, as low quantity reorders may be expensive to produce.
